TIQBUY is a reputable Nigerian online marketplace that meets the needs of sellers and buyers in the country and beyond, by creating a platform for exchange of goods and services both in wholesale and retail. It offers a direct retail and third-party e-commerce.

AGREEMENT TO OUR LEGAL TERMS

We are TIQBUY Limited (‘Company’, ‘we’, ‘us’, ‘our’)- RC – 6884275. We operate the Tiqbuy platforms which include our websites, applications, as well as any other related products and services that refer or link to these legal terms (‘the Legal Terms’) (Collectively, the ‘services’).You can contact us via our contact channels available across our platforms.These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (‘you’), and TIQBUY LIMITED, concerning your access to and use of the services. You agree that by assessing the services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the services you are using. The modified Legal Terms will become effective upon publication on any or all of our platforms. By continuing to use the services after the date of such notified changes, it is implied that you agree to be bound by the modified terms.
We recommend that you keep a copy of these Legal Terms for your record and for future referencing.

AGE RESTRICTIONS

Our services are intended for users who are at least 18 years old. As such, persons under the age of 18 are not permitted to use or register for the services.

The information provided when using the Services is not intended for distribution to use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our services, including all Source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the services (collectively, the ‘content’), as well as the trademarks, service marks, and logos contained therein (the ‘Marks’).
Our content and Marks are protected by all applicable Copyrights and Trademark laws in Nigeria, and binding on Nigeria as an International regulation. We expect that this would be useful to you for personal, non-commercial, or internal business purpose only.

YOUR USE OF OUR SERVICES

Subject to your compliance with these Legal Terms, including the ‘Prohibited Activities’ section below, we grant a non-exclusive, non-transferable, revocable licence to:

  • Access the services; and
  • The download or printing of any portion of the content to which you have properly gained access.

Solely for your personal, non-commercial use or internal business purpose.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no content or marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission first had and obtained.
Where we decide to grant you access to make use of any of our services, content, marks, you must identify us as the owners or licensors of the services, content, marks, and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our content.
We reserve all rights not expressly granted to you in and to the services, content, and marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our services will terminate immediately. We may also proceed to formally pursue Court procedures to address damages incurred as a result of the material breach.

COMMUNITY GUIDELINES

We have a product review section. While we ask that you leave honest reviews on the products that you have purchased on our platforms, this cannot at any point be translated to into your submission or publication of illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening message, sexually explicit or implicit, false, inaccurate, deceitful, or misleading content.
You are totally responsible for what you post or upload. You warrant that all submissions by you on our platforms are original to you, and that you have necessary rights and licenses to make such submissions and that you have the full authority to grant us the above-mentioned rights in relation to your submissions; and that such information is cot classified on any level, to be confidential.
Should we encounter problems as a result of you submitting your confidential information of that of a third party to us, you expressly agree to reimburse us for any and all losses that we may suffer because of this action, in line with all applicable laws in Nigeria.
You must not solicit for buyers using our review or any other comment sections provided on any of our platforms. None of our platforms are to be used by you to provide link to other websites whether similar to our service offerings or not. You are not to disclose the confidential information of a vendor or customer on our platforms.
We reserve the right to go over your content, for any reviews we consider necessary whether or not it directly impacts on you as a customer. We may in our sole discretion also remove, delete, destroy any of your content on our platforms where it goes against our internal operational policies, existing regulations, or best business practices.
You may report any unlawful or suspicious activities/ dealings to us by contacting us.

USER REGISTRATION

In order to use our services, we may require that you register an account with us. In light of this, you agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable

USER REPRESENTATIONS

By using our services, you represent and warrant that:

  • All of your registered information is true, accurate, current, and complete;
  • The accuracy of your registered information, will remain so. And you will promptly update same where it is required;
  • You have the legal capacity to agree to these terms as contained herein;
  • You are not a minor in the jurisdiction where you reside;
  • You are not a robot, and will not access our services through non-human means;
  • You will not use any of our services for illegal or unauthorized purposes;
  • Your services will not violate any applicable laws or regulation.

Where we find that any information provided by you, is represented to be untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the services (or any portion thereof). Or we may pursue legal action to enforce same should it be perceived to directly or impliedly impact on us in any form.

OUR PRODUCTS

We make every effort to display as accurately as possible, the colours, features, specifications, and details of the products available on our platforms. However, we do not guarantee that the colours, features, specifications, and details of the products will be accurate, complete, reliable, current, or error-fee. And your electronic display may not accurately reflect the actual colours and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

PURCHASES AND PAYMENTS

We accept the following modes of payment:Card payments and any other we may decide in future.You agree to pay all charges on your purchase inclusive of delivery.We reserve the right to decline your purchase, review your purchased quantities, whether placed on customer account, using a third-party account.We reserve the right to limit or prohibit orders that, in our sole discretion, appear to be placed by dealers, resellers, or distributors.

RETURNS/REFUNDS POLICY

SOFTWARE MANAGEMENT

We may include software for use in connection with our Services. If such software is accompanied by an end user licence or any other agreement, such rules shall govern your use of the software. If such software is not accompanied by an End User Licence Agreement (EULA), then we grant to you non-exclusive, revocable, personal, and non-transferable licence to use such software solely in connection with our services and in accordance with these Legal Terms. Any software and any related documentation are provided ‘AS IS’ without any form of warranty, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You accept any and all risk arising out of use or performance of any software. You may not reproduce or redistribute any software except in accordance with the EULA or these Legal Terms.

ACCOUNT TERMINATION AND SUSPENSION

We may suspend or cancel your account and/or edit your account details at any time in our sole discretion and without notice or explanation providing that if we cancel any products or services you have paid for but not received and you have not breached these general terms and conditions, we will refund you in respect of the same.

TERMS OF SALES/PURCHASE(S)

Tiqbuy serves as an online platform where sellers can sell their goods and customers can buy them. Unless Tiqbuy is identified as the seller, Tiqbuy, is not a party to the transaction between the seller and the buyer; purchases are deemed complete when payment has been made and a confirmation has been sent to the buyer. Otherwise, you may direct issues of monies not transferred to your bank.
This Terms and conditions shall serve as the governing contract for all sales and purchases between the buyer and the seller. However, we would like for you to note the following:

  • Product pricing is as listed on our platforms. It cannot be negotiated.
  • Products without definite price tags but having a pricing range shall be finalized at the point of checking out, so kindly observe if it is something that you are willing to proceed with. As we will not be held liable for any such misconstrued price representations;
  • All products sold to you, contain tax remittances and must be in compliance with existing regulations guiding same;
  • Delivery charges are ancillary to you receiving your products;

PROHIBITED ACTIVITIES

Please refer to our community guideline in Clause (6) above.

PROMOTIONS

We will not be liable for any third-party promotions you come across on our platforms whether this is displayed via ads or otherwise.

OUR RIGHT TO USE YOUR CONTENT/DATA PRIVACY

DISCLAIMER
Except as otherwise expressly set forth in this agreement, Tiqbuy does not make any representation or extends any warranties of any kind either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, noninfringement or validity of any patents issued or pending.

PROHIBITED ACTIVITIES
You must not:

  • use our platforms in any manner or carry out any action that harms or could harm it, or that affects its functionality, availability, accessibility, integrity, or security;
  • use our platforms in any unethical, unlawful, fraudulent, or harmful manner, or in connection with any unlawful, illegal, or fraudulent intention or activity;
  • Use our website to copy, store, host, transmit, send, use, publish, or distribute any content that contains (or is linked to) any spyware, computer viruses, Trojan horse worm, keystroke logger, rootkit, or other malicious computer software; Hack or otherwise tamper with our website; Probe, scan, or test the vulnerability of our website without our permission;
  • Decrypt or decipher any communications sent by or to our website without our permission. Conduct any systematic or automated data collection activities (including without limitation scraping data mining data extraction and data harvesting) on or in relation to our website without our express written consent. Access or otherwise interact with our website;
  • Use information obtained from our website for any direct marketing activity, including without limitation email marketing, SMS marketing, telemarketing, and direct mailing. Violate the instructions provided in the robots.txt file for our website. Interfere with how our website is normally used.

KNOW YOUR CUSTOMER/ CUSTOMER DUE DILIGENCE AND AUDIT MONITORING RIGHTS


We have a compliance strategy in place to prevent fraud and money laundering, and we reserve the right to conduct background checks on any user of the marketplace. As such, you must provide us with all necessary information required in ascertaining same. No information obtained in this regard, or for this purpose and used in law enforcement, may be said to amount to a breach of your right to privacy, or unlawful disclosure of your data.


OUR OBLIGATIONS
We commit to ensure that Tiqbuy or third-party sellers as applicable submit accurate information relating to their products on the marketplace.


INDEMNITY/LIABILITY EXCLUSION
You consent to hold us innocuous from any losses, damages, costs, liabilities, and expenses (including, without limitation, legal fees and any sums paid by us to a third party in settlement of a claim or dispute), incurred or suffered by us and resulting directly or indirectly from your use of our marketplace or any breach by you of any provision of these general terms and conditions, as well as any potential VAT liability or other tax liability.

BREACH OF TERMS


Where you are found to be in breach of the terms and conditions contained herein or any of our policies, we reserve the right to do the following

  • Temporarily suspend your account;
  • Block your access to our services;
  • Place a permanent ban on your access to our platforms;
  • Institute legal action.
  • Do anything we consider expedient in the circumstance of your breach.

ENTIRE AGREEMENT
This Agreement (together with the other agreements and documents being delivered pursuant to or in connection with this Agreement) constitute the entire agreement of the parties hereto with respect to the subject matter hereof and thereof, and supersede all prior agreements and understandings of the parties, oral and written, with respect to the subject matter hereof. In the case of conflict between these terms and conditions of use, and other policies on our platforms, this terms and conditions shall supersede such provisions.

VARIATION/REVIEW

We may review these terms and conditions from time to time. A review of this agreement or any of the policies guiding our operations on any of our platforms shall take effect on the day of its publication on one or all of our platforms.

WAIVER

The failure of any of the parties hereto to at any time enforce any of the provisions of this Agreement shall not be deemed or construed to be a waiver of any such provision, nor to in any way affect the validity of this Agreement or any provision hereof or the right of any of the parties hereto to thereafter enforce each and every provision of this Agreement. No waiver of any breach, non-compliance or non-fulfillment of any of the provisions of this Agreement shall be effective unless set forth in a written instrument executed by the party or parties against whom or which enforcement of such waiver is sought; and no waiver of any such breach, non-compliance or non-fulfillment shall be construed or deemed to be a waiver of any other or subsequent breach, non-compliance or non-fulfillment. No waiver of any breach of any provision of these general terms and conditions shall be construed as a further or continuing waiver of any other breach of that provision or any breach of any other provision of these general terms and conditions.


SEVERABILITY

Any provision of these general terms and conditions that a court or other competent authority finds to be invalid or unenforceable shall not affect the validity of the remaining provisions.

ASSIGNMENT

  • By accepting these general terms and conditions, you authorize us to assign, transfer, subcontract, and otherwise deal with our rights and/or obligations hereunder.
  • Any of your rights or obligations under these general terms and conditions may not be assigned, transferred, subcontracted, or otherwise dealt with without our prior written consent.

THIRD PARTY RIGHTS

⦁ Any agreement made in accordance with these general terms and conditions is made for our and your mutual benefit; it is not meant to benefit or be enforceable by any third party.

⦁ In accordance with these general terms and conditions, no third party’s permission is required for the parties to exercise their rights under a contract.

DISPUTE RESOLUTION
We strive to offer a seamless and user-friendly experience across our platforms. However, disputes between customers and sellers and/or Tiqbuy will occasionally occur.

  • Customers may report issues by contacting us via the listed communication channels on our platforms.
  • After reporting an issue, we will take cognizance of any information from you that may prove relevant in resolving same. We will take reasonable steps to respond to your requests in the event that the request(s) cannot be resolved at the point of first contact.
  • We may send you an email with a form for you to state your complaint, and provide you with a final form upon the resolution of conflict.
  • Where your complaint has not been met to your satisfaction, we will escalate such issues to departments in charge of handling same to resolve your complaint. In this case, we may request additional information from you, and we will do well to inform you of the progress upon your further request, or when due.
  • Can I contact sellers directly? Tiqbuy will make every effort to contact sellers to resolve customer complaints on behalf of our customers. However, if these efforts are unsuccessful customers may also request direct contact details for sellers by contacting customer service.
  • What if a seller refuses to cooperate in the dispute resolution process? Any seller that fails to cooperate in good faith to resolve a customer’s complaint may have its seller account restricted or terminated.
